These Terms of Service (“Terms”) govern your access to and use of the website and creative production services offered by Solo Productions, L.L.C. (“Solo Productions,” “we,” “us,” or “our”) (collectively, the “Service”). By using the site or engaging us for production work, you agree to these Terms.
Specific projects are also governed by a separate estimate, statement of work, or master services agreement. If those documents conflict with these Terms on a particular engagement, the signed project agreement controls for that engagement.
1. Services and payment
Scope: We provide film, video, post-production, motion, and related creative production services as described in a written proposal, statement of work, or order confirmation.
Payment: Fees, deposits, milestones, and expenses are as stated in your agreement. Retainers or recurring engagements are typically billed in advance. Late payment may suspend work or withhold delivery of final masters until accounts are current.
2. Intellectual property
Except as expressly assigned in writing, Solo Productions, L.L.C. retains ownership of pre-existing tools, templates, methods, and generic know-how. Deliverable rights (including copyright assignment or license) are defined in your project agreement. Client-supplied materials remain your property, and you represent that you have the rights necessary for us to use them in production.
3. Client responsibilities
You agree to provide timely feedback, brand guidelines, access to locations or talent as agreed, accurate briefs, and lawful content. You are responsible for obtaining releases, licenses, and clearances unless the parties agree otherwise in writing.
4. Termination
Either party may terminate an engagement as set forth in the applicable agreement. We may suspend or terminate access to the website or Services for conduct that violates these Terms, creates legal risk, or interferes with other clients’ productions.
Provisions that by their nature should survive—including ownership, confidentiality, disclaimers, indemnity, and limitations of liability—survive termination.
5. Disclaimer of warranties
The website and any informal guidance offered through it are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, Solo Productions, L.L.C. disclaims all implied warranties, including merchantability and fitness for a particular purpose. Creative results depend on many factors; we do not guarantee specific audience metrics, awards, or distribution outcomes unless expressly stated in a signed agreement.
6. Limitation of liability
To the maximum extent permitted by law, Solo Productions, L.L.C. and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Service or any production engagement, except where liability cannot be excluded by applicable law.
7. Governing law
Except where applicable law requires otherwise, these Terms and any dispute arising from the website or Services are governed by the laws of the State of Missouri, U.S.A., without regard to conflict-of-law principles. Our principal business address is 10699 Tesshire Dr., St. Louis, MO 63123.
8. Changes
We may modify these Terms from time to time. Material changes will be posted on this page. Continued use of the website after changes constitutes acceptance of the updated Terms.
